End User License Agreement
& Privacy Policy
Last updated: October 2026
1. Agreement to Terms
By installing or using CADshift AI for AutoCAD (the plugin for Autodesk® AutoCAD®, its MCP server and the calculation engine installed with it, together the “Software”), you agree to be bound by this End User License Agreement (the “Agreement”) between you and CADshift Pty Ltd (ACN 702 922 236) (the “Company”, “we”, “us”). If you do not agree to these terms, do not install or use the Software. CADshift is an independent product of the Company and is not affiliated with, endorsed by, or sponsored by Autodesk, Inc. Autodesk and AutoCAD are trademarks of Autodesk, Inc. Other product names, such as those of AI assistants, are trademarks of their owners.
2. License Grant
Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to:
- Install and use the Software under your license. Each activation is bound to one computer. An Individual license is one account on one computer at a time. A Team license covers the people in your organisation who sign in with its Microsoft account and use the Software, where a seat is a person who uses it in a calendar month, with at least the number of seats you purchased;
- Use the Software solely for your internal business or personal purposes;
- Make backup copies of the Software for archival purposes.
2.1 Your AutoCAD
The Software runs inside your own copy of Autodesk AutoCAD on your own computer. It does not include AutoCAD or a license to it: you are responsible for holding a valid AutoCAD license, and Autodesk’s terms govern your use of AutoCAD.
2.2 Your AI assistant
The Software provides tools that an AI assistant of your choice (for example Claude, Microsoft 365 Copilot, ChatGPT or another MCP client) uses to read and change your drawings. That assistant is third-party software. It is not part of the Software, the Company does not supply it, and its provider’s terms of use and privacy policy apply to it separately. What the assistant reads through the Software’s tools is sent to the assistant’s provider under those terms, not to the Company. Changes the assistant makes to a drawing are made at your request; review them before you rely on the drawing.
3. License Restrictions
You may NOT:
- Copy, modify, or distribute the Software except as expressly permitted;
- Reverse engineer, decompile, or disassemble the Software;
- Rent, lease, lend, sell, or sublicense the Software;
- Remove or alter any proprietary notices or labels;
- Use the Software to develop competing products;
- Circumvent any licensing mechanisms or restrictions.
4. Subscription & Trial
4.1 Trial
The Software includes a 14-day free trial with all features. It starts the first time the Software runs on your computer with an internet connection and, for the CADshift relay (section 5.2), from your account’s first call through it. No payment card is needed for the trial. There is no free tier: after the trial expires, a valid subscription is required for continued use of the Software.
4.2 Subscription
Subscriptions are billed according to the plan you select. You may manage your subscription at cadshift.com. Cancelling ends the plan straight away rather than at the end of the paid period: on the relay at once, and on your computer at its next license check.
4.3 Termination
We may terminate your license if you breach this Agreement. Upon termination you must uninstall and destroy all copies of the Software.
5. Data Collection & Privacy
5.1 Your drawings stay on your computer
The Software works on your drawings inside AutoCAD on your own computer. The plugin and the MCP server talk to each other over a channel private to your Windows user. Nothing in the Software accepts connections from other computers: the only listeners are two on your own computer (loopback): one only while you sign in to the relay in your browser, and one that opens when a map request first uses a saved GIS sign-in and stays open, on your own computer only, while the Software runs. Your drawings, files and data are not sent to the Company, except as part of the calls you ask for that are described in section 5.2.
5.2 What is sent, and when
All connections the Software makes are outgoing and encrypted (HTTPS):
- Licensing: your license, its registration to your computer (a machine identifier) and the product, to our licensing service when the trial starts, when you activate a license, and every few hours to refresh it;
- Update check: once a day the Software reads the list of released versions from cadshift.com and tells you when a newer version exists;
- Product feedback (section 5.3);
- GeoConvert: when you import a GIS file that needs converting (such as a shapefile, KML or GeoPackage) with your own GeoConvert key, that file is sent to CADshift GeoConvert for conversion;
- Online data sources: when you ask for terrain, imagery, map context, an address search or web GIS data (for example government cadastre or utilities), the area you asked for is sent to the service that provides that data. Those services are run by third parties, and their own terms and data licenses apply;
- The CADshift relay: only if you sign in to it from AutoCAD, so that an assistant elsewhere (such as Microsoft 365 Copilot) can reach your AutoCAD. When your computer connects, the relay receives your account and your computer’s Windows name, so that you can tell your computers apart; the connection is logged with them. The assistant’s requests and the Software’s answers, which can include content from your drawings, then pass through cadshift.com between the assistant and your computer. The relay does not keep their content; it counts calls by tool name for your account, never their arguments. Signing out turns it off.
5.3 Product feedback
To improve the Software, it sends us product feedback, which may include:
- What you asked for that the Software could not do, in your words, as reported by your assistant with personal information left out;
- For a tool call that failed: the tool’s name, the names of its arguments (never their values), and the error message with file names and file paths removed;
- The Software’s version, the name and version of your AI app (for example Claude Desktop), and a random identifier of the running session, so that one session’s reports can be read together;
- Your license and your computer’s machine identifier, which identify the installation that sent it.
Feedback never contains your drawings, files or passwords. Until the Software has a license, feedback stays on your computer. Your IT administrator or you can turn feedback off (the Feedback setting).
5.4 What we do NOT collect
We respect your intellectual property. Apart from what sections 5.2 and 5.3 describe, we never collect:
- Your drawings, or the geometry, dimensions, or coordinates in them;
- File names, file paths, or folder names;
- Screenshots or visual representations of your drawings;
- Passwords, or the sign-ins and keys you store in the Software (they are kept on your computer, encrypted for your Windows user);
- Personal information beyond your license, account and machine identifiers and, when you use the relay, your computer’s Windows name;
- Your conversations with your AI assistant.
5.5 Purpose of collection
This data is used to:
- Provide and license the Software, and the relay when you use it;
- Identify what users need that the Software cannot yet do, and improve the user experience;
- Diagnose and fix bugs and performance issues;
- Develop new features based on real usage patterns.
5.6 Review your data
You can review the feedback the Software records on your own machine before it is sent: it is kept in
%LOCALAPPDATA%\CADshift\autocad-mcp\feedback\queue.jsonl, one human-readable record per
line, and uploaded in batches every few minutes when your computer has an internet connection.
5.7 Data retention
Feedback is retained for up to 24 months for analysis and product improvement, after which it is deleted or permanently anonymized.
5.8 Data security
We implement industry-standard security measures to protect your data, including encryption in transit and at rest, access controls, and regular security reviews.
5.9 Updates
The Software checks once a day whether a newer version exists and tells you when it does. It does not download or install updates by itself: you install a new version with its installer. Your IT administrator or you can turn the check off (the UpdateCheck setting).
6. Intellectual Property
The Software and all copies thereof are proprietary to the Company and title remains with the Company. All rights in the Software not specifically granted in this Agreement are reserved to the Company. The Software is protected by copyright and other intellectual property laws. Your drawings remain yours.
7. Warranty Disclaimer
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
8. Limitation of Liability
IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (a) your use of or inability to use the Software; (b) any unauthorized access to or alteration of your data; or (c) any other matter relating to the Software. Nothing in this Agreement excludes liability that cannot be excluded under applicable law, including the Australian Consumer Law.
9. Indemnification
You agree to indemnify and hold the Company harmless from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Software or your breach of this Agreement.
10. Governing Law
This Agreement is governed by the laws of the State of Tasmania, Australia, without regard to its conflict of law provisions. You submit to the non-exclusive jurisdiction of the courts of Tasmania.
11. Changes to this Agreement
We may update this Agreement from time to time. Material changes will be reflected by the “Last updated” date above and, where appropriate, notified through the Software. Continued use of the Software after changes take effect constitutes acceptance of the revised Agreement.
12. Contact
Questions about this Agreement or your data can be sent to [email protected]. CADshift Pty Ltd (ACN 702 922 236, ABN 96 702 922 236), Tasmania, Australia.
